RunLogix Terms of Service
Effective date: October 11, 2026
These Terms of Service ("Terms") govern access to and use of RunLogix, including its asset maintenance management features, telemetry integrations, reporting tools, and related services (collectively, the "Service"). By accessing or using the Service, you agree to these Terms on behalf of yourself and, where applicable, the organization you represent. If you do not agree, do not use the Service.
1. Eligibility and Organization Accounts
You must be authorized to use the Service and provide accurate account information. If you use RunLogix for a municipality, company, or other organization, you represent that you have authority to act on its behalf. Your organization is responsible for managing its users, permissions, and account access.
2. Accounts and Security
You are responsible for protecting your login credentials and for activity performed through your account, subject to applicable law. Do not share credentials in an insecure manner or attempt to access accounts, data, or systems without authorization. Notify the appropriate Service administrator promptly if you suspect unauthorized access.
3. Subscriptions and Payment
Access may require a paid subscription or other authorization. Applicable fees, billing periods, usage limits, and subscription terms will be communicated through the applicable order, subscription, or account arrangement. Unless otherwise agreed in writing or required by law, fees are non-refundable.
Access may be restricted or suspended for an expired, unpaid, or inactive subscription, subject to applicable agreements and law. You remain responsible for charges incurred before suspension or termination.
4. Acceptable Use
You may use the Service only for lawful and authorized purposes. You must not attempt to bypass access controls, interfere with the Service, introduce malicious code, reverse engineer the Service except where prohibited by law, or use the Service to violate another party's rights or applicable regulations.
5. Maintenance Records and User Data
You and your organization retain responsibility for the information entered into or transmitted through RunLogix, including asset details, service history, runtime readings, operator information, and maintenance records. You are responsible for ensuring that you have the rights and permissions necessary to provide that information.
You are responsible for reviewing records for completeness and accuracy and for maintaining any independent records or backups required by your organization, policies, or applicable law. Do not treat the Service as your sole archival system unless that capability is expressly agreed in writing.
6. Telemetry and Integrations
RunLogix may accept data from external equipment, sensors, controllers, networks, or third-party systems. Telemetry may be delayed, incomplete, inaccurate, duplicated, or unavailable because of equipment faults, communication failures, configuration errors, or other causes.
You are responsible for appropriate configuration, testing, monitoring, and verification of integrated equipment and incoming data. RunLogix should not be treated as a substitute for independent instrument checks, required inspections, alarms, safety systems, or operational procedures.
7. Operational and Safety Responsibilities
RunLogix provides maintenance management, recordkeeping, reporting, and related informational tools. It does not replace professional judgment, qualified personnel, manufacturer instructions, regulatory obligations, or established maintenance and emergency procedures.
Your organization remains responsible for determining when maintenance is required and for making operational, environmental, public-health, and safety decisions. Do not rely solely on RunLogix for decisions where an incorrect, delayed, or unavailable reading could cause injury, property damage, service interruption, or environmental harm.
8. Availability and Changes
We may update, maintain, modify, or temporarily suspend portions of the Service. We do not guarantee uninterrupted availability, error-free operation, compatibility with every system, or that all data will always be transmitted or retained without loss. Where practicable, reasonable notice may be provided for planned changes or maintenance.
9. Intellectual Property
The Service, including its software, design, branding, and documentation, is owned by its applicable rights holders and protected by intellectual property laws. These Terms grant you a limited, non-exclusive, non-transferable right to use the Service during your authorized access period. No other rights are granted except as required by law or agreed in writing.
10. Third-Party Services
The Service may interact with third-party software, equipment, hosting, or communication services. Those services may be subject to separate terms and policies. We are not responsible for third-party products or services to the extent permitted by applicable law.
11. Disclaimer of Warranties
To the maximum extent permitted by applicable law, the Service is provided "as is" and "as available," without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. Nothing in these Terms excludes a warranty or right that cannot lawfully be excluded.
12. Limitation of Liability
To the maximum extent permitted by applicable law, the Service provider will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, data, business opportunities, or service availability arising from or related to use of the Service.
To the maximum extent permitted by applicable law, the Service provider's total liability for claims relating to the Service will be limited to the amount paid for the Service during the twelve months preceding the event giving rise to the claim. These limitations do not apply where prohibited by law and should be reviewed for the applicable service and customer agreements.
13. Suspension and Termination
Access may be suspended or terminated if an account is no longer authorized, subscription requirements are not met, these Terms are materially violated, or suspension is otherwise reasonably necessary to protect the Service or its users, subject to applicable agreements and law. Upon termination, your right to access the Service ends. Data export and retention, if any, are subject to the applicable subscription or written agreement and legal requirements.
14. Privacy
Information associated with your use of RunLogix may be processed to operate, secure, maintain, and support the Service. These Terms do not replace any applicable privacy notice, data-processing agreement, or contractual commitments. Do not submit sensitive personal information unless the Service and your organization's policies permit it.
15. Changes to These Terms
These Terms may be updated from time to time. Updated Terms will be posted on this page with a revised effective date. Where required by law or contract, notice or consent will be obtained before material changes take effect. Continued use after changes become effective constitutes acceptance where permitted by law.
16. Governing Law and Contact
These Terms are subject to the governing law and dispute resolution provisions of the applicable written agreement. If no such agreement exists, the applicable governing law and forum must be established by the Service provider before these Terms are finalized.
For questions about these Terms, contact the administrator or service provider responsible for your RunLogix account using the contact information supplied with your subscription.
